Be it KNOWN that Hector McKenzie Frazer of Fairfield Lands Lane
Knaresborough Yorkshire
Died there on the 1st day of June 1962
Domiciled in England
AND BE IT FURTHER KNOWN that at the date hereunder written the last
Will and Testament
(a copy whereof is hereunto annexed) of the said deceased was proved and
registered in the District Probate Registry of the High Court of Justice at
Wakefield
and that Administration of all the estate of which by law devolves to and vests in
the personal representative of the said deceased was granted by the aforesaid
Court to Andrew William Colin Cumming of 12 Park Cross Street in
the City of Leeds solicitor Florrie Frazer of Fairfield Lands Lane
aforesaid widow the relict of the said deceased and Geoffrey
Colteck Sagar
of 31 Clarendon Road in the said City chartered
accountant the executors named in the said will
And it is hereby certified that an Inland Revenue affidavit has been delivered wherein it is shown
that the gross value of the said estate in Great Britain
(exclusive of what the said deceased may have been possessed of or entitled
to as a trustee and not beneficially) amounts to £424630. 0. 11
and that the net value of the estate amounts to £413420. 13. 9
and it is further certified that it appears by a receipt signed by an Inland Revenue officer on
the said affidavit that £266477. 0. 0 on account of estate duty and interest
on such duty has been paid.

in the said County of York Company Director------------
WHERBY:

1. I HEREBY REVOKE all former Wills and Testamentary
Dispositions heretofore by me made and I Declare this to be my
last Will-------------------------
2. I APPOINT Andrew William Colin Cumming of Victoria Building
12 Park Cross Street in the city of Leeds Solicitor my dear wife
Florrie Frazer and Geoffrey Colbeck Sagar of 31 Claredon Road
Leeds aforesaid Chartered Accountant (hereinafter called "my
Trustees") to be the Executors and Trustees of this my Will----
3. I BEQUEATH the following pecuniary legacies free of all
duty payable upon or by reason of my death:-
(a) To Charles Cyril Cook if he shall still be employed by
or connected with the Company of Peter Pell Limited
at the date of my death the sum of FOUR THOUSAND POUNDS
(£4,000.0.0.) -------------
(b) To James Wright if he shall still be employed by or
connected with the Company of Peter Pell Limited at the
date of my death the sum of FOUR THOUSAND POUNDS
(£4,000.0.0.) -------------
(c) To William Winfield if he shall still be employed by
Company of Peter Pell Limited at the date of my death the sum of
TWO THOUSAND POUNDS (£2,000.0.0.) -------------
(d) To the said Andrew William Colin Cumming and the said
Geoffrey Colbeck Sagar if they shall prove my Will
and act in the trusts thereof the sum of TWO HUNDRED

AND FIFTY POUNDS (£250.0.) each -----
4. I GIVE to the British College of Naturopathy and Osteopeathy
Limited of Frazer House 6 Netherall Gardens Hampsed London
N.W.3. the sum of FIVE THUSANDS POUNDS and I DECLARE that the
receipt of the Treasure or other proper Officer for the time
being of the said College shall be a complete discharge to my
Personal Representatives and I DIRECT that this legacy shall be
charged with an appropriate share of the estate duty payable in
respect of my estate of my death---------------
5. (i) I GIVE DEVISE AND BEQUETH all the real and personal
estate whatsoever or wheresoever situate of or to which I shall
be possessed or entitled at my death or over which I shall then
have a general power of appointment or disposition by will
except property otherwise disposed of by this my will or any
codicil hereto UNTO my Trustees UPON the trusts and with and
subject to the powers and provisions hereinafter declared of and
concerning the same that is to say UPON TRUST that my Trustees
shall sell call in collect and convert into money the said real
and personal estate at such time or times and in such manner as
they shall think fit with power to postpone the sale calling in
or conversion of the whole or any part or parts of the said
property during such period as they shall think proper and to
retain the same or any part thereof in its actual form of
investment without being responsible for loss AND I DIRECT that
the income of such part of the same premises as for the time being
shall be unsold shall as well during the first year after my
death as afterwards be applied as if the same were income
arising from investments hereinafter directed to be made of the
proceeds of sale thereof and that no reversionary or other
property not actually producing income shall be treated as

Producing income for the purposes of this my will -----
(ii) MY TRUSTEES shall out of the money to arise from the
sale calling in and conversion of or forming part of my said real
and personal estate pay my funeral and testamentary expenses
(such testamentary expenses to include any estate duty payable in
respect of any Gifts Inter Vivos within five years of my death)
and debts and legacies given by this my will or any codicil
hereto and make provision for the payment of any annuities hereby
or by any codicil hereto bequeathed by me and so that in relation
to such payments the rule in equity known as the rule in
Allhusen v. Whittell shall be disregarded -------
(iii) MY TRUSTEE shall at their discretion invest the
residue of the said moneys in or upon any of the investments
hereby authorised with power to vary or transpose such investments
for or into others of a nature hereby authorised ----
6. MY THUSTEES shall stand possessed of the residue of the said
moneys and the investments and property for the time being
representing the same (hereinafter called "my residuary estate")
UPON TRUST to pay the income thereof to my dear wife Florrie
during her life and from and after the death of my said wife to
pay the whole of my residuary estate to the Frazer Foundation
7. PROVIDED ALWAYS that if my said wife shall predecease me
then and in that event my Trustees shall stand possessed of my
residuary estate UPON TRUST to pay both capital and income thereof
to the Frazer Foundation ------------
8. MONEY liable to be invested under this my Will may be
invested or applied in the purchase of or at interest upon the
security of such stocks funds securities or other investments or
property of whatsoever nature and wheresoever situate (including
the purchase of any land or dwellinghouse or whatever tenure and
whether situate in the United Kingdom or elsewhere for the use as

a residence and the improvement of any land or dwellinghouse so
bought) and whether involving liabilities or not or upon such
personal credit with or without security as my Trustees shall in
their absolute discretion think fit and to the intent that my
Trustees shall have the same powers in all respects as if they
were absolute owners beneficially entitled -----
9. MT TRUSTEES may exercise the power of appropriation conferred
by the Administration of Estate Act 1925 without obtaining any of
the contents required by that Act ---------------------------
10. ANY EXECUTOR or Trustee of this my Will be a Solicitor or
Accountant or other person engaged in any profession or business
shall be entitled to be paid all usual professional or proper
charges for business transacted time expended and acts done by
him or any partner of his in connection with the trusts hereof
including acts which any Executor not being in any profession or
business could have done personally ------
11. IN the professed execution of the trusts hereof no
Executor or Trustee shall be liable for any loss to the trust
premises arising by reason of any improper investment made in
good faith or for the negligence or fraud of any agent employed
by him or by any other Executor of Trustee hereof although the
employment of such an agent was not strictly necessary or
expedient or by reason of any mistake or omission made in good
faith by the Executor or Trustee hereof or by reason of any
other matter or thing except wilful and individual fraud or
wrongdoing on the part of the Executor or Trustee who is sought
to be made liable --------
12. I DESIRE that my body shall be creamated and my ashes
to be scattered near that portion of the Garden of Rest at
Lawnswood Leeds aforesaid where the ashes of my dear Mother
